A resin composition comprising 3 to 80 parts by weight of a resol type phenolic resin or 3 to 150 parts by weight of a polyhydric phenol, based on 100 parts by weight of a copolymer (A) of an epoxy group-containing monomer and an .alpha.-olefin, a powder of the resin composition, a laminate having a layer containing the resin composition, and producing method of the laminate.
